Notice of Arbitration Provisions: Your use of the Reckner Healthcare Expert Network is subject to binding individual arbitration of any disputes that may arise, including a class action waiver, as provided in Section 09 of these Terms. Please read the arbitration provisions carefully before using the platform.

01. Introduction

Reckner Health (d/b/a Reckner Healthcare, hereinafter referred to as "Reckner", "we", "our", or "us") owns and operates the Reckner Healthcare Expert Network, accessible via recknerhealth.com and its subdomains and associated websites (the "Network"). These Terms of Service ("Terms") govern your access to and use of the Network and all associated features, mobile applications, emails, online services, and other functionalities available through or related to the Network.

These Terms constitute a legal agreement between you and Reckner. By registering for or using any part of the Network, you agree to be bound by these Terms. If you do not agree to these Terms, please do not register with or use the Network.

You also acknowledge that you have reviewed our Privacy Policy, and consent to our collection, use, and disclosure of your personal information in accordance with that policy.

02. Use of the Reckner Healthcare Expert Network

You agree to use the Network only for purposes permitted by these Terms and any applicable law, regulation, or generally accepted practices in the relevant jurisdictions. Reckner grants you a limited, terminable, non-transferable, non-assignable, non-sublicensable, personal, non-exclusive license to access and use the Network solely as provided herein.

You may not distribute, modify, broadcast, publicly perform, transmit, reuse, or re-post any content from the Network for public or commercial purposes without our prior written permission. All rights not specifically granted in this license are reserved and remain with Reckner.

Your right to use the Network is not transferable. You acquire no rights or licenses in or to the Network or materials contained therein other than the limited right to access and use the Network in accordance with these Terms.

03. Mobile Messaging (SMS) Terms

Opting In

By providing your mobile number and opting in, you agree to receive text messages from Reckner regarding survey invitations, study updates, payment notifications, and account alerts. Consent is not a condition of participation or compensation.

Message Frequency and Costs

Message frequency varies. Message and data rates may apply depending on your mobile carrier and service plan.

Opting Out

You may stop receiving text messages at any time by replying STOP to any message. You will receive a final confirmation message that you have been unsubscribed. To re-enroll, reply START or opt in again through our website or account settings.

Your Privacy

We do not sell, rent, or share your mobile number or text messaging consent with third parties or affiliates for their marketing purposes. Information collected through our messaging program is used solely for us to provide the messaging services to which you have consented and is handled in accordance with our Privacy Policy.

Carrier Disclaimer

Mobile carriers are not responsible for delayed or undelivered messages.

04. User Representations and Warranties

By using the Network, you represent and warrant that:

• You are at least 18 years of age.
• You are a licensed healthcare professional (physician, nurse, advanced practice provider, or other qualified medical professional) currently practicing in the United States or another eligible territory.
• All information you provide during registration and throughout your participation is accurate, current, and complete.
• You have the legal authority to enter into these Terms and to perform your obligations under them.
• Your participation does not violate any applicable professional obligations, employer policies, or legal restrictions.
• You will not misrepresent your credentials, specialty, or clinical experience at any time.
• You will participate in good faith, providing genuine clinical insights based on your professional knowledge and experience.

05. Expert Network Program & Compensation

Members of the Reckner Healthcare Expert Network may be invited to participate in research activities including expert advisory surveys, virtual opinion interviews, and thought leader panels. Compensation is provided for qualifying completed activities.

• Compensation amounts vary by activity type, duration, and complexity, typically ranging from $50 to $500+ per study.
• Compensation is credited promptly upon your completion of a qualifying activity to your Reckner honorarium account, where it is held until you choose to withdraw it.
• Compensation held in your honorarium account must be withdrawn within twelve (12) months of the date on which the applicable compensation credit was posted to your Reckner honorarium account (“Claim Period”). If you fail to withdraw compensation within the applicable Claim Period, the applicable compensation credit will expire and no longer be recoverable by you, except where applicable law requires otherwise.
• Reckner reserves the right to modify compensation amounts, payment methods, and program terms at any time with reasonable notice.
• Compensation is contingent on providing complete, honest, and thoughtful responses that meet quality standards.
• Members who are found to have provided fraudulent, fabricated, or low-quality responses may be disqualified and forfeit any pending compensation.
• Invitations to participate in specific activities are at Reckner's sole discretion and are not guaranteed.

All research activities are conducted strictly for market research purposes. Reckner is not a medical provider, and participation does not constitute any form of patient care, clinical service, or medical advice.

06. Intellectual Property

All content on the Network, including but not limited to text, graphics, logos, icons, images, audio clips, surveys, questionnaires, and software, is the property of Reckner or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.

All responses, feedback, and content you provide as part of research activities ("Contributions") are owned by Reckner and may be used, reproduced, and disclosed to our clients for the purposes of market research, product development, and healthcare innovation, subject to confidentiality obligations.

You grant Reckner a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, and incorporate your Contributions into research outputs. Individual responses will not be attributed to you personally in any published output.

07. User Conduct

You agree that you will not, in connection with your use of the Network:

• Create multiple accounts or register on behalf of another person without authorization.
• Provide false, misleading, or fabricated information in any survey, interview, or profile.
• Use automated means, bots, or scripts to interact with the Network or complete research activities.
• Attempt to reverse-engineer, decompile, or extract the source code of any part of the Network.
• Share, sell, or disclose confidential research materials, survey contents, or proprietary information obtained through the Network.
• Engage in any activity that disrupts, damages, or impairs the functionality of the Network.
• Violate any applicable laws, professional regulations, or third-party rights.
• Use the Network for any unlawful, harmful, or fraudulent purpose.

08. Disclaimer

THE NETWORK AND ALL ASSOCIATED FEATURES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Reckner does not warrant that the Network will be uninterrupted, error-free, or free of viruses or other harmful components. To the maximum extent permitted by applicable law, Reckner disclaims all liability for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Network.

Reckner is a market research company. Nothing on the Network constitutes medical, legal, financial, or professional advice.

09. Binding Arbitration of Disputes

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Network, or any research activity ("Dispute") shall be resolved by binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify.

CLASS ACTION WAIVER: You agree that any arbitration or proceeding shall be limited to the Dispute between you and Reckner individually. To the fullest extent permitted by law, you waive the right to participate as a plaintiff or class member in any purported class action or representative proceeding.

Arbitration shall be administered by a recognized arbitration body under its applicable rules, and conducted in the English language. The arbitrator shall apply the substantive law of the State of Florida. Any award rendered shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to concierge@recknerhealth.com.

10. Tax Matters

Compensation received through the Reckner Healthcare Expert Network may constitute taxable income under applicable federal, state, or local tax law. You are solely responsible for reporting and paying any taxes due on compensation you receive.

Reckner may be required to collect tax identification information (such as a W-9) and to issue tax forms (such as a 1099) for compensation paid to US-based members exceeding applicable thresholds. You agree to provide accurate tax information upon request.

Reckner is not responsible for any taxes, penalties, or interest you may incur. We recommend consulting a qualified tax professional with any questions regarding the taxability of research compensation.

11. Notification of Changes

Reckner reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or via a notice on the Network.

Your continued use of the Network after any such changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Network and may request account closure by contacting us at concierge@recknerhealth.com.

12. International Users

The Reckner Healthcare Expert Network is primarily operated and controlled from the United States of America. If you access the Network from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

For users located in the European Economic Area or the United Kingdom, our processing of your personal data is governed by our Privacy Policy which includes GDPR-compliant provisions. By using the Network from outside the United States, you consent to the transfer and processing of your personal data in the United States.

13. Miscellaneous

• Governing Law: These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions.
• Entire Agreement: These Terms, together with the Privacy Policy and any additional terms applicable to specific activities, constitute the entire agreement between you and Reckner regarding the Network.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Reckner's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Reckner may assign its rights without restriction.
• No Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any third party.
